Shipping advice: the sellers shall immediately, upon the completion of the loading of the goods advise the buyers of the Contract No. names of commodity, loaded quantity, invoice value, gross weight, names of vessel and shipment date by TLX/FAX. 19. 檢驗與索賠：

Inspection and Claims:

① 賣方在發貨前由____工商______檢驗機構對貨物的品質、規格和數量進行檢驗，並出具檢驗證明。

The buyer shall have the qualities, specifications, quantities of the goods carefully inspected by the Inspection Authority, which shall issues Inspection Certificate before shipment. ② 貨物到達目的口岸後，買方可委託當地的商品檢驗機構對貨物進行復驗。如果發現貨物有損壞、殘缺或規格、

The buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of destination. If the goods are found damaged/short/their specifications and quantities not in compliance with that specified in the contract, the buyers shall lodge claims against the sellers based on the Inspection Certification issued by the Commodity Inspection Authority within days after the goods arrival at the destination.

③ 如買方提出索賠，凡屬品質異議須於貨物到達目的口岸之日起___4___天內提出；凡屬數量異議須於貨物到

達目的口岸之日起___2___天內提出。對艘裝貨物所提任何異議應由保險公司、運輸公司或郵遞機構負責的，賣方不負任何責任。

The claims, if any regarding to the quality of the goods, shall be lodged within days after arrival of the goods at the destination, if any regarding to the quantities of the goods, shall be lodged within 2 days after arrival of the goods at the destination. The sellers shall not take my responsibility if any claims concerning the shipping goods in up to the responsibility of Insurance Company/Transportation Company/Post office. 21. 不可抗力：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負責，但賣方應將上述發生的

情況及時通知買方。

Force Majeure: the sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure. But the sellers shall advise the buyers on time of such occurrence. 22. 爭議的解決方式：

任何因本合同而發生或與本合同有關的爭議，應提交中國國際經濟貿易仲裁委員會，按該會的規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。

Disputes settlement: All disputes arising out of the contract or in connection with the contract, shall be

submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration. The arbitral award is final and binding upon both parties.

23. 法律適用：本合同的簽訂地、或發生爭議時貨物所在地在中華人民共和國境內或被訴人為中國法人的，適用於

中華人民共和國法律，除此規定外，適用《聯合國國際貨物銷售合同公約》。

Law applications: it will be governed by the law of the People's Republic of China under the circumstances that the contract is signed or the goods while the disputes arising are in the People's Republic of China or the defendant is Chinese legal person, otherwise it is governed by United Nations Convention on Contract for the International Sale of Goods.

本合同使用的、CFR、CIF、DDU術語系根據國際商會《INCOTERMS 1990》。

1.裝運條款和交貨期：於合同生效後8月27日前以陸運形式送貨到達香港。

Quality /Quantity/Weight Discrepancy and Claim: In case the quality and /or quantity/weight are found by the Buyer not to conform with the contract after arrival of the goods at the final destination, the Buyer may lodge a claim against the seller supported by a survey report issued by an inspection organization agreed upon by both parties with the exception of those claims for which the insurance company and /or the shipping company are to be held responsible. Claim for quality discrepancy should be filed by the Buyer within 15 days after arrival of the goods at the final destination while for quantity / weight discrepancy claim should be filed by the Buyer within 10 days after arrival of the goods at the final destination.

6.人力不可抗拒: 本合同內所述全部或部分商品，如因人力不可抗拒原因,使賣方不能履約或延期交貨,賣方不負任何責任。

Force Majeure: The Seller shall not be held responsible for failure or delay in delivery of the entire or portion of the goods under this contract in consequence of any Force Majeure incidents.

7.仲裁：凡執行本合同或與合同有關事項所發生的一切爭執，應由雙方通過友好方式協商解決。如果不能取得協 議時，應提交中國國際貿易促進會委員會對外貿易仲裁委員會，根據該仲裁委員會的仲裁程序暫行規定進行仲 裁，仲裁裁決是終局的，對雙方都有約束力。仲裁費用除非仲裁另有決定外，均由敗訴一方承擔。

Arbitration: All disputes in connection with this Contract or the execution thereof shall be settled through friendly negotiations. If no settlement can be reached, the case shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade, Beijing, for settlement by arbitration in accordance with the Commission’s Provisional Rules of Procedure. The award rendered by the Commission shall be final and binding on both parties. The arbitration expenses shall be borne by the losing party unless otherwise award by the arbitration organization.
